SMIC announced on the evening of September 3 that Zhou Zixue resigned as chairman of the board of directors and chairman of the nomination committee of the board of directors. Dr. Gao Yonggang, executive director, chief financial officer and company secretary, was appointed as the acting chairman of the company to perform the duties of chairman of the board of directors and serve as the chairman of the nomination committee of the board of directors, with immediate effect.
On the evening of July 19, SMIC international disclosed that the board of directors of the company reviewed and approved the proposal of the restricted stock incentive plan of the science and innovation board, and determined to grant 67.5352 million restricted shares to 3944 incentive objects at the grant price of 20 yuan / share on July 19.
This incentive plan is not small. On July 19, the closing price of SMIC was 51.80 yuan / share, and the grant price of this incentive plan was only 38.61% of the closing price, less than 40% off.
In this incentive plan, the four directors and senior executives, Zhou Zixue, Jiang Shangyi, Zhao Haijun and Liang Mengsong, were awarded 400000 shares respectively. Zhou Zixue is the chairman and executive director of the company, Jiang Shangyi is the vice chairman and executive director, Zhao Haijun is the joint CEO, executive director and core technician, and Liang Mengsong is the joint CEO, executive director and core technician. According to the grant price, each person can obtain an equity incentive of RMB 12.72 million (excluding the cost of RMB 20 / share borne by himself).
Previously, according to the news of Shanghai Stock Exchange on August 12, according to the index rules, Shanghai Stock Exchange and China Securities Index Co., Ltd. decided to transfer SMIC out of the Shanghai Stock connect index sample from August 16, 2021.

Dr. Gao Yonggang, who served as a non-executive director of the company in 2009, was appointed as executive vice president of strategic planning of the company on June 17, 2013 and transferred to executive director. He was appointed as chief financial officer of the company on February 17, 2014, joint company secretary of the company on July 3, 2017 and company secretary of the company on November 11, 2020. Dr. Gao is a director, executive director or chairman of several subsidiaries and affiliated companies of the company. Dr. Gao also serves as a director of Jiangsu Changdian Technology Co., Ltd. (listed company on Shanghai Stock Exchange: 600584) and an independent director of Shanghai yiruiguang Electronic Technology Co., Ltd. Dr. Gao is a doctor of management of Nankai University. He once served as the chief accountant of the Institute of Telecommunications Science and Technology (Datang Telecom Technology Industry Group) and the chairman of Datang Telecom Group Finance Co., Ltd. Dr. Gao has more than 30 years of business management experience and has served as the financial or corporate head of many enterprises or institutions.
