Bank of Hainan Co., Ltd., headquartered at 31 haixiu East Road, Haikou City, Hainan Province, is a joint-stock commercial bank approved by the State Council and approved by the CBRC. It is also the only provincial legal person commercial bank in Hainan Province.

With a registered capital of 3 billion yuan, Bank of Hainan is a commercial bank established by Luhuitou tourism, a wholly-owned subsidiary of Hainan Development Holding Co., Ltd., a provincial state-owned enterprise in Hainan Province, with Bank of communications as a strategic investor, shares of global top 500 private enterprises, and legal personality of independent enterprise.

Historical evolution

Founding meeting

On July 18, 2015, Hainan Bank held the founding meeting and the first general meeting of shareholders, the first meeting of the first board of directors and the first meeting of the first board of supervisors. This meeting is an important milestone in the history of Hainan bank, indicating that the establishment of Hainan bank has entered a sprint stage.

At the first general meeting of shareholders, 16 resolutions including the articles of association of Hainan bank, the rules of procedure of the third board of directors, and the remuneration system of directors and supervisors were adopted, resulting in the first session of the board of directors and the first session of the board of supervisors; the first session of the first session of the first board of directors and the first session of the first session of the first board of supervisors elected the chairman of the board of directors and the chairman of the board of supervisors, appointed senior executives, and established relevant special committees.

According to relevant public information, the registered capital of Hainan bank is 3 billion yuan, of which private capital accounts for 53%. From the perspective of shareholder structure, Luhuitou tourism, a wholly-owned subsidiary of Hainan Development Holdings, holds 17% of the shares as the main sponsor, and Bank of communications, as a strategic investor, holds 10%.

The remaining shares are distributed as follows: Haima finance, a subsidiary of Haima automobile, holds 12%; Huaxin petroleum holds 12%; Hainan Nongken group holds 10%; HNA international tourism island development and construction (Group) Co., Ltd. holds 9%; HNA holds 7%; Donghua software holds 5%; after its establishment, Donghua software will also assist in the comprehensive IT construction of Hainan bank; Hainan Haiyao, Changjiang Huasheng Tianya cement, Hainan Haiyao Xinjian bridge holds 5% of the shares and Haigang group holds 3%.
